Terms of Service

These Terms govern your use of ZINGERS — a curated B2B networking platform operated by Zingers ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Membership

Membership is by application and vouching only. You must be a licensed professional (attorney, CPA, CFP, architect, therapist, or similar) with at least 5 years of practice experience, operating a solo or small firm (1-25 people).

We reserve the right to decline any application without explanation. Approval is typically granted or denied within 48 hours.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. One account per person. You may not share, sell, or transfer your account.

You must provide accurate, current, and complete information during registration and keep your profile updated. Misrepresentation may result in termination.

3. Subscription & Billing

Membership is a recurring monthly subscription billed in advance in US Dollars through Paddle.com Market Ltd ("Paddle"), our Merchant of Record, who handles payment processing, tax collection, invoicing, and refunds.

Founding Member rate: $59/month, available to the first 50 approved members, locked for life.

Regular Member rate: $99/month, applies after the Founding Member cohort fills.

You authorize Paddle to charge your chosen payment method on a recurring monthly basis until you cancel. Prices are exclusive of sales tax, VAT, or other applicable taxes, which Paddle will collect as required by law.

4. Cancellation & Refunds

You may cancel your membership at any time from your account settings or by contacting support@zingers.app. Cancellation takes effect at the end of your current billing period; you retain access until that date.

5. Member Conduct

Violations may result in warnings, suspension, or termination without refund.

6. Content & Intellectual Property

You retain ownership of information you submit (profile, messages, referrals). You grant us a limited license to use this content to operate the Service — including displaying it to other members, generating matches, and producing anonymized aggregate analytics.

All ZINGERS branding, software, matching algorithms, and platform design are our intellectual property. You may not copy, reverse-engineer, or use them outside the Service.

7. AI Features & Matching

Our matching engine uses AI to surface curated referral opportunities. Matches are suggestions; we do not guarantee business outcomes, client acquisitions, or revenue.

AI-generated content (message drafts, briefings) should be reviewed before use. You are responsible for any communication sent through the Service.

8. Disclaimers

ZINGERS is a networking platform, not a marketplace, escrow service, or legal/financial advisor. We do not process transactions between members, take commissions on referred business, or guarantee any specific outcomes.

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted availability or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, consequential, or punitive damages, including lost profits, lost business opportunities, or reputational harm.

10. Termination

You may terminate your account at any time. We may terminate or suspend accounts that violate these Terms, engage in fraudulent activity, or harm other members.

Upon termination, your access ceases. Your data is retained per our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of Tel Aviv, Israel, except where local consumer protection law requires otherwise.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email with at least 30 days' notice. Continued use after changes constitutes acceptance.
